Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Sylwia Klocek Accounting Ltd ("we", "us", "our"), a company registered in England and Wales (Company No. 7202858), with a registered address at 1000 Great West Road, Brentford, Middlesex, TW8 9DW.
By engaging our accounting, tax or related professional services, or by using our website at sylwiaklocek.co.uk, you acknowledge that you have read, understood and agree to these Terms.
Services Provided
Sylwia Klocek Accounting Ltd provides professional accounting, tax advisory, bookkeeping, payroll, VAT compliance, company formation, and related financial services to businesses and individuals in the United Kingdom.
The specific scope of services, fees and deliverables will be agreed in a separate engagement letter or service agreement prior to commencement of work. These Terms apply in addition to any engagement letter unless otherwise specified.
Client Responsibilities
To enable us to provide services effectively, you agree to:
Provide accurate, complete and timely information and documentation as requested. Notify us promptly of any changes in your business circumstances that may affect our work. Respond to queries within reasonable timeframes to avoid delays in deadlines. Review and approve work products, accounts or tax returns submitted for your review before final filing. Retain copies of all documents and records provided to us.
You remain responsible for the accuracy of all information provided to us and for any decisions made based on our advice.
Fees and Payment
Our fees are set out in the relevant engagement letter or service agreement. Unless otherwise stated:
Invoices are payable within 14 days of the invoice date. We reserve the right to charge interest on overdue balances at the rate of 8% per annum above the Bank of England base rate. Additional work outside the agreed scope will be charged at our prevailing hourly rate, agreed in advance where possible. Fees are exclusive of VAT where applicable.
We reserve the right to suspend services where payment is overdue.
Confidentiality
We maintain strict confidentiality regarding all client information. We will not disclose your confidential information to any third party without your consent, except where:
Required by law, regulation or a court order. Required by our regulatory body (AAT). Necessary to provide the agreed services (e.g. submitting returns to HMRC or Companies House on your behalf).
This obligation continues after the termination of our engagement.
Professional Standards
Sylwia Klocek Accounting Ltd is licensed and regulated by the Association of Accounting Technicians (AAT) under licence number 20134424. We maintain professional indemnity insurance and public liability insurance of £1,000,000 (provided by Maltings Insurance).
We comply with all applicable professional standards, including AAT's Code of Professional Ethics, HMRC requirements, and relevant UK legislation.
Limitation of Liability
Our liability to you in connection with any engagement is limited to the fees paid by you for the specific service giving rise to the claim. We are not liable for indirect, consequential or special losses.
We are not responsible for losses arising from information you have provided that is inaccurate or incomplete, or from decisions you have made independent of our advice.
Termination
Either party may terminate the engagement by providing 30 days' written notice. We reserve the right to withdraw from an engagement immediately in circumstances where continued engagement would conflict with our professional obligations or regulatory requirements.
Upon termination, all outstanding fees for work completed become immediately payable, and we will return all original documents provided by you.
Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or our engagement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements or professional obligations. Updated Terms will be posted on our website and, where material, communicated to active clients directly.
